The use of this site and the acquisition of the digital and physical services available on it are governed by the following set of terms and conditions (hereinafter "T&C" or the "Contract"), as well as by the rest of the documents mentioned herein, being applicable to all users, whether individuals or legal entities, of the platform.

Accessing, using, or purchasing any services made available to you on this site is subject to your acceptance of the following terms and conditions, which form the contract between our company and yourself. Please read this document carefully before securing your space in our sessions.

Art. 1. THE PARTIES TO THE CONTRACT

 1.1 The Provider is [Elegant State S.R.L], a Romanian legal entity, with its registered office in [Strada Cernișoara, Nr. 43, Bl. 012, Scara A, Etaj 3, Ap. 20, Bucharest, Romania], registered with the Trade Register under no. [J2026010967007], Unique Registration Code [53995461], hereinafter referred to as the "Provider". 1.2 The Beneficiary is the physical or legal person who accesses the site or purchases the services (therapeutic, somatic, intuitive or community-based) made available by the Provider and is identified by the data provided during the checkout or booking process, hereinafter referred to as the "Beneficiary", "Client", or "User".

Definitions:

·         Consumer: Any natural person acting for purposes outside their trade, business, craft or profession.

·         Digital Content/Service: Data produced and supplied in digital form or services allowing the creation, processing or accessing of digital data.

·         Distance Contract: Any contract concluded between the professional and the consumer within an organized distance sales or service-provision scheme, without the simultaneous physical presence of the parties.

Art. 2. THE OBJECT OF THE CONTRACT

 2.1 The object of the contract is the provision of specialized services (including but not limited to The Deep Archives, The Glass Pavilion, The Oracle’s Ledger and The Social Salon) by the Provider to the Beneficiary, in exchange for a price, based on an online order/booking. 2.2 The price of the services is displayed on the site and will be identical to the one appearing on the invoice issued following the checkout. 2.3 The provision of services commences upon the successful processing of the payment and the confirmation of the scheduled session or the activation of the digital pass (e.g., The Monthly Architect). 2.4 The specifications of the services are those displayed on the site at the time of the order. 2.5 Medical Disclaimer: The therapeutic, somatic and intuitive practices provided by the Provider do not replace medical advice, nor do they exclude clinical medical interventions, psychiatric care or pharmaceutical treatments. The Beneficiary remains entirely responsible for their own physical and mental well-being.

Art. 3. METHOD OF DELIVERY AND SCHEDULING

 Digital and Experiential Delivery The services offered are interactive sessions (online or physical) and digital assets (e.g., Gift Cards). We do not deliver physical goods via courier.Scheduling Private Inquiries (The Deep Archives, The Oracle's Ledger) Upon completing your investment, you will receive a private confirmation email. The Provider will then contact you directly to personally align the precise date, time, and medium (online or in-person) of your session. Scheduling The Soma Study Upon securing a single pass or a monthly subscription, the Beneficiary is granted access to an integrated digital calendar to independently reserve their chosen dates.

Art. 4. CONCLUSION AND DURATION OF THE CONTRACT

 4.1 By accepting the T&C and completing the checkout process, the contract is considered concluded between the parties. 4.2 This document serves as a valid distance contract, requiring no physical or electronic signature for validity. 4.3 The contract remains in force until the object of the specific service purchased has been fully executed.

Art. 5. THE PRICE OF THE CONTRACT AND PAYMENT METHODS

 5.1 The prices are those communicated on the individual service pages. 5.2 Payment is made securely online, via credit/debit card, through our payment processor (Shopify Payments). 5.3 The Provider will issue an invoice for the acquired services. The Beneficiary must provide complete and accurate information for the issuance of legal financial documents.

Art. 6. RIGHTS AND OBLIGATIONS OF THE PARTIES

 6.1 Rights and Obligations of the Provider 6.1.1 To provide the highly curated services as described on the platform. 6.1.2 To reserve the right to update these T&C, notifying the Beneficiary via the website. 6.1.3 To issue the fiscal invoice according to Romanian law. 6.2 Rights and Obligations of the Beneficiary 6.2.1 To pay the agreed price for the contracted services. 6.2.2 To maintain a respectful, collegial tone during group settings (The Social Salon, The Glass Pavilion). The Provider reserves the right to remove any Beneficiary exhibiting inappropriate behavior without prior notice or refund. 6.2.3 To refrain from recording, reproducing, distributing, or sharing private session links, methodologies, or materials provided by the Provider to any third parties. 6.2.4 To respect the physical boundaries and intellectual property of the Provider. 6.2.5 The Responsibility of Correspondence: The Beneficiary is solely responsible for providing an accurate, active email address during the checkout process and for actively monitoring their inbox (including "spam," "junk," or "promotions" folders) for logistical communications. This includes emails regarding the scheduling of private inquiries, physical location details or digital access keys (e.g., Zoom links). Failure to attend a scheduled session, or failure to finalize a booking date due to unresponsive communication, overlooked emails, or incorrectly submitted contact details, is the strict responsibility of the Beneficiary and does not constitute valid grounds for a refund.

Art. 7. THE RIGHT OF WITHDRAWAL

 7.1 Beneficiaries – Legal Entities (Merchants): The right of withdrawal is not applicable to legal entities. 7.2 Beneficiaries – Consumers: The right of withdrawal applicable to consumers is regulated in the final section of this document ("Right of Withdrawal – Rules of Application").

Art. 8. LIABILITY

 8.1 Each party is liable for the full and timely fulfillment of its obligations. 8.2 The Provider is not liable to refund the Beneficiary if the Beneficiary unilaterally decides not to attend a booked session, fails to access the provided digital tools, or does not engage in the process, except as provided by the cancellation policy (Art. 12). 8.3 The Provider cannot guarantee that digital platforms (e.g., Zoom, booking calendars) will be completely free of technical errors caused by third-party internet providers.

Art. 9. CONFIDENTIALITY CLAUSE

 9.1 Due to the intimate nature of the work, absolute confidentiality is required. The Beneficiary agrees not to disclose any proprietary methodologies or group participant information. 9.2 Conversely, the Provider is strictly bound to maintain absolute confidentiality regarding all personal, psychological, and relational data shared by the Beneficiary during private sessions (The Deep Archives), in accordance with professional ethical standards.

Art. 10. INTELLECTUAL PROPERTY RIGHTS

 10.1 All rights deriving from intellectual property over the site's content, text, aesthetics, structural names, methodologies, and visual architecture are the exclusive property of the Provider. 10.2 The Beneficiary acquires no ownership rights over the materials provided. They are strictly for personal, non-commercial use.

Art. 11. NON-COMPETITION CLAUSE 11.1 The Beneficiary agrees not to commercially replicate, reproduce, or teach the specific frameworks, somatic structures, or specific workshop architectures experienced within The Centered Club for competing financial gain.

Art. 12. TERMINATION

 12.1 The contract terminates automatically: a) Upon fulfillment of the service. b) By mutual agreement. c) By termination by the Provider in case of the Beneficiary's breach of conduct or intellectual property clauses, without the right to a refund. 12.2 Specific Cancellation Boundaries:

·         Private Sessions: May be rescheduled up to 24 hours prior. Cancellations within 24 hours are non-refundable.

·         The Soma Study / Monthly Passes: Valid strictly for the current month. Non-refundable and non-transferable to the next month. May be rescheduled up to 24 hours prior. Classes canceled within 24 hours are non-programmable.

·         Community Gatherings / Retreats: Strictly non-refundable due to limited capacity. May be rescheduled up to 24 hours prior. Cancellations within 24 hours are non-refundable.

Art. 13. FORCE MAJEURE

 Neither party shall be held liable for the non-execution of obligations caused by force majeure events, as defined by law. The invoking party must notify the other within 5 days.

Art. 14. OTHER CLAUSES

 The Provider reserves the right to refuse service or cancel an order if there are reasonable suspicions of fraud, if the Beneficiary behaves in a manner that prejudices the image or safety of the Provider or other community members, or if the Beneficiary provides false information.

Art. 15. DISPUTES

 All disputes shall be resolved amicably. If impossible, the dispute shall be submitted to the competent Romanian courts. EU consumers may also utilize the European Commission's Online Dispute Resolution (ODR) platform.

Art. 16. FINAL CLAUSES

 These terms are governed by Romanian law. The Provider reserves the right to modify this document at any time, the updated version being permanently available on the site.

 

RIGHT OF WITHDRAWAL – RULES OF APPLICATION

 Exercising the right of withdrawal: As an EU consumer, you generally have the right to withdraw from a distance contract within 14 days without giving any reason. However, you may cancel or reschedule a session without penalty up to 24 hours before the session begins. Exceptions (Loss of the right of withdrawal): We inform you that the right of withdrawal is completely lost in the following situations: (i) After the complete provision of the service (a completed therapy, somatic, or reading session). (ii) For the supply of digital content/subscriptions (e.g., The Monthly Architect pass) once the contract execution has begun with your prior express consent. By purchasing these services, you acknowledge that you lose your right of withdrawal once the service period actively begins.
